Account Restrictions:

• The account was created with false or misleading information;
• The account is being used in violation of these Terms or any applicable laws;
• The account is associated with abusive, fraudulent, harmful, or otherwise inappropriate activity;
• Multiple accounts are being used to circumvent usage limits, bans, or enforcement actions.
One Account Per User:
Users are generally permitted to maintain only one active account unless explicitly authorized by us. Creating duplicate accounts without permission may result in all associated accounts being suspended or terminated.

Attempt to copy, decompile, reverse-engineer, disassemble, derive source code from, or otherwise tamper with any part of the Platform, including its AI models, software, APIs, or systems. Unauthorized access to internal mechanics is strictly prohibited.
Interfere with the Service:
Disrupt, overload, or attempt to interfere with the performance, integrity, or security of the Platform or its related systems, servers, or networks. This includes deploying malware, denial-of-service attacks, scraping, or attempting to gain unauthorized access.
Bypass Usage Controls:
Attempt to circumvent access restrictions, token-based usage limits, content moderation filters, or any technical measures that govern how the Platform is used. This includes manipulating prompts to evade detection or creating multiple accounts to bypass usage policies.
Misuse Generated Content:
Use generated content to mislead, impersonate, defraud, or deceive others, particularly in ways that may cause reputational, psychological, or financial harm.
Violate Any Law or Regulation:
Use the Platform in a way that violates any applicable law, regulation, court order, or contractual obligation.
Platform Usage Controls and Limitations
To ensure the stability, security, and fair use of Imaginella.ai by all users, we reserve the right to implement various controls, safeguards, and enforcement mechanisms.
These measures are necessary to prevent abuse, protect our systems, and maintain a positive experience for the entire user community.
We may, at our sole discretion and without prior notice:
Monitor Platform Activity:
Analyze and monitor your use of the Platform, including prompt frequency, output patterns, token usage, and system interactions, to detect suspicious behavior, policy violations, or misuse.
Apply Usage Limits:
Enforce limitations on the number of actions, generations, or tokens you can use within a given time frame. Usage limits may vary depending on your account level, purchased token pack, or current platform load.
Adjust Token Consumption Thresholds:
Modify how tokens are consumed for certain tasks based on their complexity, resource intensity, or risk level. This allows us to maintain service performance and allocate resources effectively.
Restrict or Suspend Access:
Temporarily or permanently disable access to specific features, tools, or your entire account if we detect behavior that violates these Terms, the Content Policy, or our system safeguards.
Prevent Excessive or Automated Use:
Detect and block abnormal usage patterns, including excessive traffic, scripted/automated access, or activities that appear to be attempts to scrape, flood, or stress test the platform.
Enforce Technical Controls:
Use automated and manual enforcement tools such as:
• IP rate limiting
• Session throttling
• Account flagging
• Temporary lockouts
• CAPTCHA challenges
Preserve Platform Integrity:
Modify, suspend, or terminate services at any time to address operational concerns, legal requirements, or emerging abuse scenarios.
These measures are implemented to ensure Imaginella.ai remains reliable, secure, and accessible to all users.

Payment and Pixel Packs
The features, services, and usage capacities on Imaginella.ai require the purchase and use of virtual tokens, which we call Pixels. Pixels are the internal currency of the platform and are used to access AI-powered tools, generate content, and unlock all of the platform features.
Purchasing Pixels:
You may purchase Pixels directly through the Imaginella.ai platform using supported payment methods. All pricing, payment terms, and token quantities will be clearly displayed at the point of purchase.
By completing a purchase, you agree to pay the displayed fees and authorize our designated third-party payment processor to process the transaction. Payment must be made in full before Pixels are credited to your account.
No Subscriptions or Recurring Billing:
Imaginella.ai operates exclusively on a pay-as-you-go model. We do not offer subscriptions or automatic recurring billing. You are only charged when you actively choose to purchase Pixels. There will never be automatic charges or background renewals tied to your account.
Pixel Usage:
Pixels are deducted from your account balance as you use the platform’s services.
The number of Pixels required per generation, tool, or action may vary based on:
• The complexity of the image generation
• The size or resolution of the requested output
• The type of AI feature accessed
Detailed rules regarding Pixel consumption, pricing structures, and feature-specific costs are described in our Pixel Usage Policy, which forms part of these Terms.
Pixel Expiry and Refunds:
Pixels may expire after a specific validity period (for example, 12 months from the date of purchase). Exact expiry terms will be disclosed in the Pixel Usage Policy and at checkout.
Pixel purchases are generally non-refundable unless required by law. If technical issues prevent proper Pixel usage, you may contact our support team to request a review on a case-by-case basis.
Pixels are tied to your personal account and cannot be transferred, exchanged, or resold to other users.
Third-Party Payment Processing:
Payments on Imaginella.ai are securely handled by third-party payment processors. We do not store your complete payment details (such as full credit card numbers) on our servers.
By purchasing Pixels, you also agree to comply with the payment provider’s terms and privacy policy.
Termination
We reserve the right to suspend or terminate your access to Imaginella.ai, including your account and any remaining Pixel balance, at any time, with or without prior notice, under the following circumstances:
Grounds for Suspension or Termination:
Your account may be suspended, restricted, or permanently terminated if, in our reasonable judgment, you:
• Violate these Terms, our Content Policy, Privacy Policy or the Pixel Usage Policy;
• Engage in fraudulent, abusive, or deceptive conduct, including impersonation, manipulation of prompts, or misuse of generated content;
• Infringe on the rights of others, including intellectual property, privacy, or personal safety;
• Attempt to circumvent access controls, rate limits, moderation systems, or security features;
• Use the Platform in a way that violates applicable laws or regulations;
• Create or use multiple accounts to evade enforcement or misuse Platform resources.
We also reserve the right to terminate or restrict access to all or part of the Platform if required to do so by law, regulatory order, or court decision.
Your Right to Terminate:
You may discontinue your use of the Platform at any time. If you have an account, you may request that it be deactivated or permanently deleted by contacting assist@imaginella.ai.
Please note that:
• Unused Pixels may not be refunded or transferred upon voluntary termination.
• We may retain certain information for legal, regulatory, or operational purposes in accordance with our Privacy Policy.
Effects of Termination:
• Upon termination, your right to use the Platform immediately ceases.
• We may delete or restrict access to your account data and generated content, subject to applicable data retention laws.
• Termination does not affect any rights or obligations that accrued prior to the termination date, including outstanding payment obligations, content ownership, or liabilities.
We are not liable to you or any third party for the suspension or termination of access to the Platform, including loss of data or unused Pixels, except as required by applicable law.
Disclaimer of Warranties
Imaginella.ai and all services, features, tools, and content provided through the Platform are offered on an “as is” and “as available” basis, without warranties of any kind - express, implied, statutory, or otherwise.
To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:
Service Availability:
We do not guarantee that the Platform will be uninterrupted, timely, secure, or free of errors, bugs, or technical malfunctions. Scheduled maintenance, unexpected outages, and third-party service disruptions may affect availability.
Accuracy and Reliability of Outputs:
The content generated by our AI models is produced algorithmically and may contain errors, inaccuracies, or unexpected results. We make no guarantees regarding the factual accuracy, legal compliance, ethical suitability, or commercial viability of any output generated by the Platform.
Fitness for a Particular Purpose:
We do not warrant that the Platform or its outputs will meet your specific needs, expectations, or use case—including but not limited to professional, legal, medical, or artistic requirements.
Security and Data Integrity:
While we implement reasonable safeguards, we do not guarantee that the Platform will be free from unauthorized access, data breaches, viruses, or other harmful components.
Non-Infringement:
We make no warranty that use of the Platform or generated outputs will not infringe the rights of others. Users are solely responsible for ensuring their use of generated content complies with all applicable intellectual property and legal obligations.
You understand and agree that you use Imaginella.ai entirely at your own risk. You are solely responsible for how you interpret, store, share, or deploy any content generated by the Platform.
Some jurisdictions do not allow the exclusion of certain warranties, so portions of this section may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.
Limitation of Liability
To the fullest extent permitted by applicable law, Itmex Solutions LTD, including its directors, officers, employees, affiliates, partners, service providers, and licensors, shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, whether based on contract, tort, negligence, strict liability, or otherwise, arising out of or relating to:
• Your access to, use of, or inability to use Imaginella.ai;
• The accuracy, completeness, or usefulness of any outputs generated by the Platform;
• Any unauthorized access to or use of your data, account, or content;
• Any interruption, suspension, or termination of the Platform or your account;
• Errors, omissions, delays, or loss of data;
• Loss of business, revenue, profit, anticipated savings, goodwill, or reputation;
• Any conduct or content of any third party on or through the Platform.
This limitation applies even if we were advised of the possibility of such damages, and even if a remedy fails of its essential purpose.
Maximum Aggregate Liability:
In all cases, our total cumulative liability to you for any claim or series of related claims, regardless of the form of action, shall be strictly limited to the greater of:
• The amount you paid (if any) to Itmex Solutions LTD for Pixels in the six (6) months preceding the claim, or €100 (one hundred Euros).
Jurisdiction-Specific Exceptions:
Some jurisdictions do not allow the exclusion or limitation of certain types of damages or warranties. In such cases, portions of this limitation may not apply to you. However, our liability will be limited to the maximum extent permitted by law in your jurisdiction.
Indemnification
You agree to defend, indemnify, and hold harmless Itmex Solutions LTD, its directors, officers, employees, affiliates, partners, licensors, and service providers from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
• Your access to or use of Imaginella.ai;
• Any content (including prompts, uploads, or AI-generated outputs) created, stored, or distributed by you via the Platform;
• Your violation of these Terms, the Content Policy, the Pixel Usage Policy, or any other applicable policy or agreement;
• Your infringement of any third-party rights, including intellectual property, data protection, privacy, publicity, or contractual rights;
• Any misuse of the Platform by a third party using your account credentials, whether or not authorized by you.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate fully with us in asserting any available defenses.
This indemnification obligation will survive the termination or expiration of your account and your use of the Platform.
Severability
If any provision of these Terms & Conditions is determined by a court or other competent authority to be invalid, illegal, or unenforceable for any reason, such provision shall be deemed modified to the minimum extent necessary to make it valid, enforceable, and consistent with the original intent of the parties.
If such modification is not possible, the affected provision shall be deemed severed from these Terms without affecting the validity and enforceability of the remaining provisions. The rest of the Terms shall continue in full force and effect.
The parties expressly agree that it is their mutual intent that the remainder of the Terms not be affected by the invalidity or unenforceability of any individual clause.
In addition:
• No Waiver: A failure or delay by Itmex Solutions LTD to enforce any part of these Terms shall not be deemed a waiver of our rights.
• Cumulative Rights: All rights and remedies under these Terms are cumulative and not exclusive of any rights or remedies provided by law.
This clause ensures that even if one part of the agreement fails, the rest stays legally intact and enforceable.
Governing Law and Jurisdiction
These Terms & Conditions, along with all matters related to your access to and use of Imaginella.ai, shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles or rules that would cause the laws of any other jurisdiction to apply.
Jurisdiction:
You agree that any disputes, claims, or legal proceedings arising out of or in connection with:
• Your use of the Platform;
• Any content generated through the Platform;
• These Terms or any related policies;
shall be subject to the exclusive jurisdiction of the courts of England and Wales.
International Users:
If you access Imaginella.ai from outside the United Kingdom, you are responsible for complying with all local laws applicable to your use of the Platform. Regardless of your location, you agree that the laws and courts of England and Wales will govern all disputes related to your relationship with Itmex Solutions LTD, to the extent permitted by applicable law.
No Class Actions:
To the maximum extent permitted by law, you agree to resolve any dispute with us on an individual basis and not as part of any collective, class, or representative action.

Pixel purchases are generally non-refundable unless required by law. If technical issues prevent proper Pixel usage, you may contact our support team to request a review on a case-by-case basis.
Pixels are tied to your personal account and cannot be transferred, exchanged, or resold to other users.
Third-Party Payment Processing:
Payments on Imaginella.ai are securely handled by third-party payment processors. We do not store your complete payment details (such as full credit card numbers) on our servers.
By purchasing Pixels, you also agree to comply with the payment provider’s terms and privacy policy.
Termination
We reserve the right to suspend or terminate your access to Imaginella.ai, including your account and any remaining Pixel balance, at any time, with or without prior notice, under the following circumstances:
Grounds for Suspension or Termination:
Your account may be suspended, restricted, or permanently terminated if, in our reasonable judgment, you:
• Violate these Terms, our Content Policy, Privacy Policy or the Pixel Usage Policy;
• Engage in fraudulent, abusive, or deceptive conduct, including impersonation, manipulation of prompts, or misuse of generated content;
• Infringe on the rights of others, including intellectual property, privacy, or personal safety;
• Attempt to circumvent access controls, rate limits, moderation systems, or security features;
• Use the Platform in a way that violates applicable laws or regulations;
• Create or use multiple accounts to evade enforcement or misuse Platform resources.
We also reserve the right to terminate or restrict access to all or part of the Platform if required to do so by law, regulatory order, or court decision.
Your Right to Terminate:
You may discontinue your use of the Platform at any time. If you have an account, you may request that it be deactivated or permanently deleted by contacting assist@imaginella.ai.
Please note that:
• Unused Pixels may not be refunded or transferred upon voluntary termination.
• We may retain certain information for legal, regulatory, or operational purposes in accordance with our Privacy Policy.
Effects of Termination:
• Upon termination, your right to use the Platform immediately ceases.
• We may delete or restrict access to your account data and generated content, subject to applicable data retention laws.
• Termination does not affect any rights or obligations that accrued prior to the termination date, including outstanding payment obligations, content ownership, or liabilities.
We are not liable to you or any third party for the suspension or termination of access to the Platform, including loss of data or unused Pixels, except as required by applicable law.
Disclaimer of Warranties
Imaginella.ai and all services, features, tools, and content provided through the Platform are offered on an “as is” and “as available” basis, without warranties of any kind - express, implied, statutory, or otherwise.
To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:
Service Availability:
We do not guarantee that the Platform will be uninterrupted, timely, secure, or free of errors, bugs, or technical malfunctions. Scheduled maintenance, unexpected outages, and third-party service disruptions may affect availability.
Accuracy and Reliability of Outputs:
The content generated by our AI models is produced algorithmically and may contain errors, inaccuracies, or unexpected results. We make no guarantees regarding the factual accuracy, legal compliance, ethical suitability, or commercial viability of any output generated by the Platform.
Fitness for a Particular Purpose:
We do not warrant that the Platform or its outputs will meet your specific needs, expectations, or use case—including but not limited to professional, legal, medical, or artistic requirements.
Security and Data Integrity:
While we implement reasonable safeguards, we do not guarantee that the Platform will be free from unauthorized access, data breaches, viruses, or other harmful components.
Non-Infringement:
We make no warranty that use of the Platform or generated outputs will not infringe the rights of others. Users are solely responsible for ensuring their use of generated content complies with all applicable intellectual property and legal obligations.
You understand and agree that you use Imaginella.ai entirely at your own risk. You are solely responsible for how you interpret, store, share, or deploy any content generated by the Platform.
Some jurisdictions do not allow the exclusion of certain warranties, so portions of this section may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.
Limitation of Liability
To the fullest extent permitted by applicable law, Itmex Solutions LTD, including its directors, officers, employees, affiliates, partners, service providers, and licensors, shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, whether based on contract, tort, negligence, strict liability, or otherwise, arising out of or relating to:
• Your access to, use of, or inability to use Imaginella.ai;
• The accuracy, completeness, or usefulness of any outputs generated by the Platform;
• Any unauthorized access to or use of your data, account, or content;
• Any interruption, suspension, or termination of the Platform or your account;
• Errors, omissions, delays, or loss of data;
• Loss of business, revenue, profit, anticipated savings, goodwill, or reputation;
• Any conduct or content of any third party on or through the Platform.
This limitation applies even if we were advised of the possibility of such damages, and even if a remedy fails of its essential purpose.
Maximum Aggregate Liability:
In all cases, our total cumulative liability to you for any claim or series of related claims, regardless of the form of action, shall be strictly limited to the greater of:
• The amount you paid (if any) to Itmex Solutions LTD for Pixels in the six (6) months preceding the claim, or €100 (one hundred Euros).
Jurisdiction-Specific Exceptions:
Some jurisdictions do not allow the exclusion or limitation of certain types of damages or warranties. In such cases, portions of this limitation may not apply to you. However, our liability will be limited to the maximum extent permitted by law in your jurisdiction.
Indemnification
You agree to defend, indemnify, and hold harmless Itmex Solutions LTD, its directors, officers, employees, affiliates, partners, licensors, and service providers from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
• Your access to or use of Imaginella.ai;
• Any content (including prompts, uploads, or AI-generated outputs) created, stored, or distributed by you via the Platform;
• Your violation of these Terms, the Content Policy, the Pixel Usage Policy, or any other applicable policy or agreement;
• Your infringement of any third-party rights, including intellectual property, data protection, privacy, publicity, or contractual rights;
• Any misuse of the Platform by a third party using your account credentials, whether or not authorized by you.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate fully with us in asserting any available defenses.
This indemnification obligation will survive the termination or expiration of your account and your use of the Platform.
Severability
If any provision of these Terms & Conditions is determined by a court or other competent authority to be invalid, illegal, or unenforceable for any reason, such provision shall be deemed modified to the minimum extent necessary to make it valid, enforceable, and consistent with the original intent of the parties.
If such modification is not possible, the affected provision shall be deemed severed from these Terms without affecting the validity and enforceability of the remaining provisions. The rest of the Terms shall continue in full force and effect.
The parties expressly agree that it is their mutual intent that the remainder of the Terms not be affected by the invalidity or unenforceability of any individual clause.
In addition:
• No Waiver: A failure or delay by Itmex Solutions LTD to enforce any part of these Terms shall not be deemed a waiver of our rights.
• Cumulative Rights: All rights and remedies under these Terms are cumulative and not exclusive of any rights or remedies provided by law.
This clause ensures that even if one part of the agreement fails, the rest stays legally intact and enforceable.
Governing Law and Jurisdiction
These Terms & Conditions, along with all matters related to your access to and use of Imaginella.ai, shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles or rules that would cause the laws of any other jurisdiction to apply.
Jurisdiction:
You agree that any disputes, claims, or legal proceedings arising out of or in connection with:
• Your use of the Platform;
• Any content generated through the Platform;

shall be subject to the exclusive jurisdiction of the courts of England and Wales.
International Users:
If you access Imaginella.ai from outside the United Kingdom, you are responsible for complying with all local laws applicable to your use of the Platform. Regardless of your location, you agree that the laws and courts of England and Wales will govern all disputes related to your relationship with Itmex Solutions LTD, to the extent permitted by applicable law.
No Class Actions:
To the maximum extent permitted by law, you agree to resolve any dispute with us on an individual basis and not as part of any collective, class, or representative action.
